Terms of Service

These Terms of Service ("Terms") govern your use of Convena ("the Service"), operated by DH Ventures LLC. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent that you meet this requirement.
Service Description
Convena provides AI-assisted analysis through multiple third-party AI models and a synthesis conversation. It does not provide legal, medical, financial, tax, therapeutic, or any other form of licensed professional advice. Output is for informational and exploratory purposes only.
Accounts and Security
You are responsible for all activity under your account and for keeping your credentials secure. You must promptly notify us at derrick@convena.ai if you suspect unauthorized access.
AI-Generated Content Disclaimer
The Service provides output generated by third-party artificial intelligence models. This output:
- Is not professional advice. Convena does not provide legal, medical, financial, tax, therapeutic, engineering, or any other form of licensed professional advice. AI output is for informational and exploratory purposes only.
- May be inaccurate. AI models can produce responses that contain factual errors, fabricated information ("hallucinations"), outdated data, logical inconsistencies, or biased perspectives. The multi-model format does not guarantee accuracy or eliminate these risks.
- Should not be the sole basis for important decisions. You are solely responsible for evaluating AI output, verifying facts independently, and consulting qualified professionals before making decisions that could affect your health, finances, legal rights, employment, safety, or relationships.
- Is generated by third-party AI providers. We do not control the training data, reasoning processes, or outputs of the underlying AI models accessed through the Service.
Your Content
You retain ownership of the questions and input you submit to the Service ("User Content"). By using the Service, you grant Convena a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service to you.
AI output generated through the Service is provided for your personal use. We do not claim ownership of AI-generated output. However, identical or similar output may be generated for other users who submit similar questions. You acknowledge that AI output is not unique to you, and we make no representations regarding intellectual property rights in AI-generated content.
We do not use your session content to train AI models. Your questions and the AI responses they generate are not shared with other users.
Acceptable Use
You agree not to use the Service to:
- Generate content that is unlawful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Attempt to extract, reverse-engineer, or probe the system prompts, model configurations, or internal logic of the Service.
- Use automated tools, scripts, or bots to access the Service or circumvent rate limits, fair-use controls, or billing mechanisms.
- Submit content that infringes the intellectual property rights of any third party.
- Attempt to generate content that could facilitate harm to any person.
- Impersonate any person or entity, or misrepresent your affiliation.
- Use the Service for any purpose that violates applicable law or regulation.
- Resell access to the Service or operate a competing service using Convena's output.
- Attempt to access other users' data, sessions, or accounts.
Billing and Refunds
Session packs are one-time digital purchases billed at the pricing shown at purchase time. Due to the nature of digital goods, all purchases are final and non-refundable, except:
- Where required by applicable consumer protection law (including EU consumer rights for digital content).
- Where the Service experienced a verified technical failure that prevented delivery of a purchased session.
- At our sole discretion for billing errors or exceptional circumstances.
Refund requests may be submitted to derrick@convena.ai. We will respond within 14 business days. Free sessions provided at signup are promotional and carry no cash value.
Third-Party Services
The Service relies on third-party providers including AI model providers (accessed via OpenRouter), database and authentication (Supabase), payment processing (Stripe), and hosting (Vercel). We are not responsible for the availability, accuracy, or conduct of these third-party services. Their use is subject to their respective terms and privacy policies.
By using the Service, you acknowledge that your questions will be processed by third-party AI model providers as described in our Privacy Policy. This processing is a core function of the Service and cannot be performed without transmitting your input to these providers.
Termination
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms.
- We detect fraudulent, abusive, or automated usage patterns.
- We are required to do so by law or legal process.
- We discontinue the Service or any material portion of it.
You may terminate your account at any time by contacting us at derrick@convena.ai. If you terminate your account, unused session credits are forfeited. If we discontinue the Service, we will refund the purchase price of any unused credits within 30 days. We may retain data as required by law or as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination (including liability limitations, disclaimers, and dispute resolution) will continue to apply.
Limitation of Liability
To the maximum extent permitted by applicable law, Convena and its owner, operators, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) fifty dollars ($50.00).
You specifically acknowledge that we are not liable for any actions you take or fail to take based on AI-generated output provided through the Service.
Indemnification
You agree to indemnify, defend, and hold harmless Convena and its owner, operators, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your distribution of AI-generated output to third parties; or (c) content you submit through the Service that infringes third-party rights.
Dispute Resolution
These Terms are governed by the laws of the State of Idaho, without regard to conflict of law principles.
Any dispute arising from these Terms or the Service shall first be addressed through informal resolution. You agree to contact us at derrick@convena.ai and allow 30 days for resolution before initiating formal proceedings.
For disputes not resolved informally, you agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. For claims under $1,000, Convena will cover arbitration filing fees. Either party may bring claims in small claims court as an alternative to arbitration. Either party may also seek injunctive relief in any court of competent jurisdiction.
Class action waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.
Copyright Complaints
If you believe content on the Service infringes your copyright, contact us at derrick@convena.ai with: (1) identification of the copyrighted work, (2) identification of the infringing material and its location, (3) your contact information, (4) a statement of good faith belief, (5) a statement of accuracy under penalty of perjury, and (6) your physical or electronic signature.
Data Breach Notification
In the event of a data breach that affects your personal information, we will notify affected users by email within 72 hours of confirming the breach, as required by applicable law. We will describe the nature of the breach, the data affected, and the steps we are taking in response.
Changes to Terms
We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of the Service after the effective date means you accept the revised Terms. For non-material changes, we will update the date above.
